This End User License Agreement ("Agreement") is a legal contract between [Xellier Network Solutions Pvt. Ltd] ("Licensor," "We," or "Us") and you ("User" or "You"). By installing, accessing, or using the [Software/Inxense application ("Software"), you agree to be bound by these terms. If you do not agree, do not use the Software.

1. License Grant

1.1 Licensor grants you a non-exclusive, non-transferable, revocable license to use the Software solely for lawful purposes under this Agreement.

1.2 You acknowledge that you acquire no ownership rights in the Software, and all rights not expressly granted are reserved by Licensor.

2. Restrictions on Use

You agree NOT to:

Reverse engineer, decompile, disassemble, or modify the Software.

Create derivative works, resell, sublicense, or distribute the Software without written consent.

Use the Software for unlawful purposes, including infringement of third-party rights.

Circumvent any security measures, even if such measures are not yet implemented.

3. Intellectual Property

All rights, title, and interest in the Software (including patents, copyrights, and trademarks) remain the exclusive property of Licensor. You must not remove or alter any proprietary notices.

4. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

5. Limitation of Liability

5.1 To the maximum extent permitted by law, Licensor shall not be liable for:

Consequential, incidental, punitive, or indirect damages.

Loss of data, profits, or business opportunities arising from use of the Software.

5.2 Licensor’s total liability under this Agreement shall not exceed the greater of (a) INR 5000 or (b) the amount paid by you for the Software in the preceding 12 months.

6. Termination

6.1 Licensor may terminate this license immediately if you breach any terms.

6.2 Upon termination, you must cease all use and delete/destroy copies of the Software.

7. Updates & Modifications

Licensor reserves the right to:

Update or modify the Software at any time, including adding technical protections.

Change this Agreement, with continued use constituting acceptance of revised terms.

8. Data Privacy

By using the Software, you consent to Licensor’s collection and use of data as described in our [Privacy Policy]. Licensor is not liable for third-party data breaches.

9. Indemnification

You agree to indemnify Licensor against all claims, damages, or costs arising from your misuse of the Software or breach of this Agreement.

10. Export Controls

You warrant that you will not use or export the Software in violation of the laws of India or international trade laws, including embargoed regions.

11. Governing Law & Disputes

This Agreement is governed by the laws of India. Disputes shall be resolved through binding arbitration in [Bangalore, Karnataka], with each party bearing its own costs.

12. Miscellaneous

Severability: If any provision is unenforceable, the remainder of the Agreement remains valid.

Entire Agreement: This Agreement supersedes all prior agreements.

Waiver: Failure to enforce a term does not waive Licensor’s rights.
